Understanding Beneficial Ownership at the CIPC – What South African Companies Need to Know

Hills Business Solutions Scaling Your Business

Hills Business Solutions believes that a clear company structure is essential for long-term compliance and growth. One of the most significant regulatory changes, affecting many South African businesses, is the need to declare beneficial ownership to the Companies and Intellectual Property Commission (CIPC).

But what exactly does this mean, and why is it so important?

What is beneficial ownership?

A beneficial refers to an individual or group who directly or indirectly owns or controls a business. Even if their names are not on the official company registration documents, they have an impact on the business through their shareholding or voting rights.

Let’s take a simple example.

Cathy owns 55% of the shares in Company ABC. This gives her a majority vote and the authority to appoint or remove board members, influence company strategy, and make critical management decisions. Cathy is the beneficial owner of Company ABC, and her information must be recorded in the Beneficial Ownership Register.

Let’s say Company ABC is owned by a holding company, Company XYZ, and Cathy owns the majority of XYZ. Her influence now extends across both entities, and she is regarded as a beneficial owner in both companies.

Why Were These Regulations Introduced?

South Africa was added to the Financial Action Task Force’s (FATF) grey list in March 2023, indicating that our country’s anti-money laundering (AML) and counter-terrorist financing (CTF) controls required immediate improvement.

To address this, the government enacted the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act 22 of 2022, which included changes to the Companies Act 71 of 2008. These amendments took effect on April 1, 2023, and required companies to maintain and submit a Beneficial Ownership Register to the CIPC.

This move is a significant step towards greater financial transparency, making it more difficult for individuals to hide behind complex corporate structures or remain invisible in ownership arrangements.

What Does This Mean for Your Business?

As a business owner, director, or shareholder, you are now responsible for keeping your company’s beneficial ownership information accurate and up to date with the CIPC.

These records are not just for show; they are actively used by organisations such as SARS, the Financial Intelligence Centre (FIC), and the Financial Sector Conduct Authority. These entities can now compare company ownership structures, investigate discrepancies, and ensure tax and financial compliance.

In other words, the era of anonymity in business ownership has ended.

The Implications of Non-Compliance

Failure to disclose beneficial ownership is not a minor mistake; it can have serious legal and financial consequences. The new system allows government agencies to investigate ownership irregularities and hold noncompliant individuals accountable.

For businesses with layered ownership, high-value assets, or sensitive operational structures, taking proactive steps to stay compliant is critical.

Hills Business Solutions helps businesses navigate the complexities of CIPC regulations and ensure that their ownership structures are fully compliant. Whether you need assistance preparing your Beneficial Ownership Register, filing Annual CIPC Returns, or understanding how these changes will affect your tax position and legal structure, we are here to help you every step of the way.

If you’re unsure whether your company meets the new requirements, contact our team right away. Let’s get your compliance in order—before the regulators arrive.
